IN THIS GUIDE · Buying a farm whose value sits in leases and permits that may not transfer with it
Start with the E-2 eligibility and application overview
Two nationality questions, and the second one catches people out
E-2 asks about the nationality of the investor and about the nationality of the enterprise. Renaud is a Canadian citizen, and Canada is a treaty country, so the first is settled. The second requires that the American business be at least fifty percent owned by nationals of the same treaty country. If the seller's operations manager is to take a forty-nine percent stake, the enterprise still qualifies; if he takes fifty-one percent because he knows the water and Renaud does not, it does not, and no amount of investment repairs that. The split has to be settled before a purchase agreement is drafted, because a percentage amended after the fact reads as a structure assembled for an application.
Committed and at risk, when a regulator holds the decisive card
The capital must be irrevocably committed and genuinely exposed to loss. Money sitting in Renaud's account here is neither. The ordinary answer is a signed agreement with the price paid into escrow, released on approval and returned on refusal, so the commitment is real without being simply forfeited. The lease consents complicate that structure rather than defeating it. Closing conditions tied to regulatory transfer are commercially normal and should be drafted explicitly, so that the file shows a defined event releasing the funds rather than an open-ended intention. What must be avoided is the reverse arrangement, in which he pays now and hopes the permits follow, since that risks losing both the money and the enterprise.
Substantial is a ratio, and the denominator is this business
No fixed sum qualifies an investment. Substantiality is weighed against the total cost of purchasing an established enterprise of this type, or of establishing one from nothing, and it must be enough to make the successful operation of the business likely. Buying the whole farm makes that ratio strong, because the committed capital approaches the entire acquisition cost. The evidence is the purchase agreement with the price allocated across leases, permits, stock in the water, gear and goodwill, each line supported by a valuation somebody prepared for a commercial reason rather than for this application. A tax-driven allocation nobody can defend weakens the case at exactly the point where it should be strongest.
The enterprise has to feed more than one household, and it leads nowhere on its own
An enterprise producing only enough income to support the investor and his family may be found marginal. A working oyster farm with a crew on payroll is rarely in that position, and the evidence already exists in the seller's records rather than in projections Renaud writes afterwards. He must also develop and direct the business, which ordinarily means majority ownership or operational control, not a passive stake. One further point belongs in the family conversation before money moves: E-2 offers no direct path to permanent residence. It renews while the enterprise continues to qualify, which can mean many years, but permanence is a separate question for a licensed U.S. immigration attorney.
