Cornwall: I am selling my company with an earn-out — can those proceeds fund an EB-5 investment?

THE DIRECT ANSWER

Identify the statutory category's central factual test before relying on an appealing feature of the proposal.

EB5 planning question: requirements

EB-5 requires more than transferring a large sum. The capital must qualify, be placed at risk in the new commercial enterprise, and connect to the required job creation under the applicable structure. The investor also needs a documented lawful source and path of funds.

Hypothetical example: a family sells a company, receives part of the price immediately, and expects the remainder after an earn-out. Only the completed, traceable funds can be described as presently available; future proceeds need clear contingency treatment. The applicable minimum amount, project classification, and evidence standard must be confirmed at the time of filing.

A family residence objective does not replace the capital, job, or source documentation requirements. Before acting, compare the written facts with the official source and identify what remains uncertain. Ask whether a changed title, delayed payment, revised ownership arrangement, or different work plan would alter the conclusion.

That exercise is valuable because eligibility is based on the arrangement that will actually exist, not the version that seemed most attractive during early planning. If a material fact is still contingent, label it as contingent and retain the supporting document that will show when it becomes final. The review should also distinguish immigration criteria from commercial prudence.

A proposal may be commercially sensible yet not fit this category, or it may meet a category test while still requiring separate tax, licensing, and contract advice.
